Terms of Service

These terms govern access to Memoris, a digital service for cultural, historical, fictional, and narrative AI presences.

1. Agreement

These terms form a binding agreement between you and Memoris. In these terms, "Memoris", "we", "us", and "our" refer to the Memoris service and its operator.

Memoris is operated by Quandelia SRL, a Belgian company registered with the Crossroads Bank for Enterprises under number BE 0775.602.102, with registered office at Boulevard Bischoffsheim 39/4, 1000 Brussels, Belgium.

2. The service

Memoris lets you explore public AI presences and, where available, discuss with them through text and voice features. A presence is an authored digital character, historical interpretation, fictional perspective, or narrative voice generated and operated by software. It is not a human person, a professional adviser, a companion service, or an official representative of any real individual unless we expressly say so.

Memoris delivers digital access and digital content only. We do not sell physical goods or human services. Payments are processed by Stripe. Memoris does not store full payment card details.

3. Eligibility

You must be at least 18 years old, or the applicable age of majority in your jurisdiction if higher, to use Memoris. The service may not be used by, for, or marketed toward minors.

4. Account access and security

Access to private conversation features is tied to your sign-in method, such as Google or an email sign-in link. You are responsible for keeping access to that Google account or email inbox secure and for all activity under your account.

If you suspect unauthorized access, contact us immediately.

5. AI conversations and synthetic media

AI presence replies are generated by software. They may be incomplete, inaccurate, fictional, emotionally expressive, historically interpretive, or inconsistent. You should not treat a presence as a source of verified fact, professional advice, medical guidance, legal advice, financial advice, emergency support, or instructions for regulated decisions.

Presence voices, images, stories, and replies may be synthetic or AI-generated. They are provided as cultural, historical, fictional, and narrative experiences, not as authentic speech, endorsement, or proof that a real person said or approved the content.

Voice input is optional. When you use voice input, your audio is sent for transcription and deleted after transcription. The resulting transcript is handled like a text message and may be stored in your conversation history.

6. Permitted use

You may use Memoris to explore available presences, start private conversations, listen to generated voice replies where available, and manage access through your account and subscription.

If creation or publishing tools are made available, submitted content must be lawful, respectful, and suitable for an authored digital presence. You must own or have the necessary rights to any content you submit.

7. Prohibited use

The following are prohibited on Memoris. This list is illustrative, not exhaustive.

Unlawful or infringing conduct. You may not use the service in ways that are illegal, infringe third-party intellectual property rights, constitute defamation or harassment, or facilitate any unlawful act.

Deceptive identity use. You may not present an AI presence as a real person speaking in real time, falsely imply endorsement or affiliation, impersonate living individuals, generate fake reviews or social proof, or mislead others about the origin of AI-generated content.

Adult, intimate, and companion content. Sexually explicit content, companion-style or romantic simulation products, AI girlfriend or boyfriend services, and any AI-generated or AI-proxied adult or NSFW content are not permitted.

Regulated services and high-risk reliance. You may not use a presence to deliver financial advice, investment guidance, medical advice, legal services, mental health crisis support, or any other regulated or high-risk service.

Content involving minors. Presences and conversations may not be designed for, directed at, sexualize, exploit, or otherwise target minors.

System abuse. You may not attempt to compromise the platform's security, circumvent access controls, scrape the service, automate abusive requests, reverse engineer protected systems, initiate fraudulent chargebacks, or interfere with the service for other users.

Stripe and payment restrictions. Because payments are processed by Stripe, you may not use Memoris for products, services, or conduct prohibited by Stripe or applicable payment-network rules.

8. Moderation and safety

We may use automated and manual moderation to protect the service, enforce these terms, and comply with legal or payment-provider requirements. This may include reviewing conversation patterns, submitted content, prompts, generated outputs, and account activity where reasonably necessary for safety, abuse prevention, technical operation, or legal compliance.

Content or behavior that violates these terms may be blocked, removed, rate-limited, or escalated for review. We may suspend or terminate account access, cancel pending transactions, refuse future use of the service, or take other reasonable enforcement action.

9. Content and intellectual property

You retain ownership of content you submit. By using the service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, moderate, generate, display, and deliver your submitted content and related AI outputs as needed to operate, secure, improve, and enforce Memoris.

Memoris retains all rights to the platform, software, design, brand, models, workflows, generated infrastructure, and curated presences made available by the service. Access to Memoris does not transfer ownership of any platform intellectual property.

10. Privacy and data protection

Your conversations are treated as private account content. We do not sell personal data, do not use conversation data for advertising, and do not operate an advertising business model.

Primary Memoris product data is stored in European cloud infrastructure. Some providers that help us operate AI generation, transcription, authentication, payment, security, error reporting, or analytics may process limited data as service providers. Where personal data is transferred outside the European Economic Area, we use appropriate safeguards as described in our Privacy Policy.

11. Payments, subscriptions, withdrawal, and refunds

Subscriptions and other purchases are digital purchases delivered immediately after checkout. Subscription access starts when the transaction is confirmed and remains available according to the plan terms shown at checkout.

Before starting Stripe Checkout, you may be asked to request immediate access to the digital service and acknowledge that you lose your right of withdrawal once access begins. Refunds remain available where required by law and in the circumstances described in our Refund Policy.

Subscriptions can be managed or cancelled through the billing portal where available. Cancelling a subscription stops future renewals but does not automatically refund the current billing period unless applicable law or our Refund Policy requires it.

12. Availability and product changes

We may change, limit, suspend, or discontinue features at any time for maintenance, security, legal compliance, moderation, infrastructure, or product reasons. We do not guarantee uninterrupted access or that any specific presence, model behavior, voice feature, or conversation capability will remain available permanently.

13. Disclaimer of warranties

The service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement.

14. Limitation of liability

To the fullest extent permitted by applicable law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the service. Our total aggregate liability for any claim shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Memoris, its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the service, your content, your conversations, or your violation of these terms.

16. Governing law and disputes

These terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes shall be submitted to the competent courts of Brussels, Belgium.

If you are a consumer residing in the European Union, you also benefit from any mandatory consumer protection rules that apply in your country of residence.

17. Changes

We may update these terms from time to time. Material changes will be published on the site or communicated through the platform before they take effect.
